The legal needs of a business are not static. They change as the business grows, as relationships evolve, and as disputes arise. A startup signing its first vendor agreement has different concerns from an MSME facing a commercial dispute, which has different concerns from a company appearing before the National Company Law Tribunal. What remains constant, across all of these, is the need for legal counsel that understands the commercial context and can translate legal requirements into practical guidance.
My corporate practice spans transactional advisory, cross-border support, and litigation—with a common thread of commercially aware, partner-led engagement.
Contract Drafting and Review
A contract is only as good as its clarity and its foresight. I draft and review the full range of commercial agreements, with particular attention to risk allocation, enforceability, and the mechanisms available when things go wrong.
- Commercial agreements — supply, distribution, service, agency, and franchise contracts.
- Delhi High Court — Writ petitions under Article 226 of the Constitution of India challenging service orders, denial of benefits, disciplinary actions, and allied matters.
- Non-Disclosure and Confidentiality Agreements — including non-circumvention provisions for sensitive commercial arrangements.
- Vendor and procurement contracts.
- Bespoke transaction documents — tailored agreements for specific commercial arrangements that standard templates do not adequately address.
I also review contracts presented by counterparties, identify clauses that require negotiation or rejection, and advise on realistic negotiating positions with the objective of protecting my client's interests without unnecessarily complicating the commercial relationship.
US Paralegal Support
I provide paralegal support to US law firms and companies operating in cross-border contexts. This is a practice born from direct engagement with US-based practitioners who require reliable, confidential, and high-quality legal support on India-side or offshore-deliverable work. The scope includes:
- Litigation support: document review, legal research, case summarisation, and preparation of litigation materials.
- Corporate drafting: preparation and review of corporate agreements, resolutions, and filings.
- Intellectual property support: research, drafting, and coordination of IP documentation.
Corporate Litigation: National Company Law Tribunal (NCLT)
The NCLT is the designated forum for company law disputes in India, including insolvency and bankruptcy proceedings under the Insolvency and Bankruptcy Code, 2016, oppression and mismanagement complaints, and winding-up matters. I represent clients before the NCLT in:
- Insolvency and bankruptcy proceedings including applications by financial and operational creditors under the IBC.
- Oppression and mismanagement petitions under the Companies Act, 2013.
- Other company law applications and allied proceedings.
Commercial Suits
Where contractual disputes or commercial claims require adjudication before the civil courts, I handle the full lifecycle of the litigation from drafting the plaint, written statement, and interlocutory applications, to appearance and argument at each stage. My experience covers breach of contract, recovery of dues, injunctive relief, and allied commercial claims.
Arbitration
Arbitration is an increasingly preferred mechanism for resolving commercial disputes, and for good reason: confidentiality, finality, and party autonomy over the process. I assist clients across the arbitration lifecycle:
- Advising on the validity, scope, and enforceability of arbitration clauses in existing contracts.
- Drafting arbitration clauses for new contracts — covering seat, governing law, and institutional or ad hoc election.
- Drafting and filing arbitration notices and statements of claim.
- Representing clients in domestic arbitration proceedings.
